President and CEO
John G. (Jack) Mergner, Jr. (“Mr. Mergner”) is a resourceful, performance driven executive-level professional. He possesses a diverse background and skill-set with extensive experience in the investment, insurance, financial-services, real estate development and oil & gas industries.
Mr. Mergner is the founder of JGM Wealth Management, L.L.C. (“JGM Wealth”), a North Carolina registered investment advisory firm (www.JGMWealth.com), and serves as the company’s President, Chief Executive Officer, Chief Investment Officer, Chief Compliance Officer and sole owner. He is a Licensed Investment Advisor Representative (FINRA Series 65) and a licensed independent life insurance agent.
Prior to forming JGM Wealth, Mr. Mergner worked for more than 27 years in the financial services industry in various capacities including as a Senior Vice President with the investment firms of Wheat First Butcher Singer (now Wells Fargo Advisors), Salomon Smith Barney (now Morgan Stanley), and UBS Financial Services where he was primarily engaged in rendering investment advisory and portfolio management services to individuals, families, high net worth clients and small-businesses, including the management of investment portfolios for the retirement plans of many clients and companies. While at Smith Barney, Mr. Mergner managed more than $300 million of assets for ~1,500 clients. He is experienced with the use of traditional wills, revocable trusts, durable financial and heath care powers of attorney, living wills, irrevocable life insurance trusts (ILITs) and irrevocable special needs trusts.
In addition to the Investment Advisor Representative (FINRA Series 65) and life insurance licenses he currently holds, from 1981 through 2006, Mr. Mergner also held licenses as a General Securities Registered Representative (FINRA Series 7), Uniform State Securities Agent (FINRA Series 63), and Life & Health Insurance Agent. Over the ~29 years that the various securities and insurance licenses have been held by Mr. Mergner, each has always been maintained ‘in good standing’ and compliant with all applicable federal and state regulatory agencies.
Mr. Mergner is also the founder and Managing Director of JGM Partners, L.L.C., a North Carolina company (www.JGMPartners.com), which provides comprehensive consulting and (non investment-related) advisory services to individuals and businesses across the United States and in the Caribbean region. JGM Partners works with commercial bank lenders, the U.S. Small Business Administration (SBA); asset-backed and accounts receivable lenders; factoring and commercial finance companies; hard money, conventional, unconventional and unsecured lenders; private equity, institutional and insurance company lenders; premium finance lenders, venture capital funding groups and angel investors – all in an effort to assist individuals, entrepreneurs, existing and startup businesses obtain the most appropriate type and amount of funding they require to meet their specific short-, -intermediate and long-term needs. JGM Partners also works with real estate developers seeking equity capital, bridge financing, acquisition and development (A&D) and construction financing. Aside from helping to procure funding for clients, other services offered by JGM Partners range from assisting with the formation, organization, structuring (or restructuring) and management of client companies -- to working with clients and, as appropriate, their other professional team of advisors (e.g., investment banker, attorney, accountants, bank, equity owners, employees, etc.) to identify, develop and implement strategic plans for growing, or scaling, their company; facilitating business valuations; assisting with the structuring of mergers, acquisitions and/or sale transactions involving the client company; and, working with business owners to identify, plan for, and execute on one or more exit strategy options.
Since 2010, Mr. Mergner has served as a Senior Vice President and licensed independent life insurance agent with Strategic Insurance Solutions, Inc., an independent (non captive) insurance and fixed-indexed annuity agency headquartered in Raleigh-Durham, North Carolina where he advises individuals and business clients in the areas of life insurance, needs analysis, risk management, buy-sell insurance, business succession planning, retirement- and estate-planning, tax-deferred fixed indexed annuities, and other related strategies, products and services.
In July, 2014, Mr. Mergner was asked to form and lead a new independent exploration and production (E&P) company and serve as its Managing Member. The company, Marcellus Energy Partners, LLC planned to drill up to 150 unconventional horizontal natural gas wells on ~11,000 acres of Marcellus Shale property located in northeastern PA. Due to favorable pricing differentials, all natural gas produced from project wells drilled was intended to be directed to Cheniere Energy Partners’ new liquefaction facility in Cameron Parish, LA for conversion into liquefied natural gas (LNG) and exported by LNG tankers to contract purchasers in Asia, Europe, and Latin America. Unfortunately, due to the rapid collapse of oil prices globally in 2014 (to which natural gas prices were indexed) from $112/barrel (BBL) in July 2014 to $62/BBL by December of that year, the planned multi-billion dollar venture was tabled. Oil prices declined even further in 2015 ending the year below $40/BBL, and fell below $27/BBL in Q1-2016. The postponed venture may or may not be revisited in the future.
Mr. Mergner’s experience in the oil & gas industry began in 1980 when he became actively involved with the structuring, syndication, management and administration of 30 developmental oil & gas private placement formed to drill wells in Ohio, Pennsylvania and Texas. These programs collectively raised more than $30 million of investment capital from primarily high net worth individuals. In connection with these developmental drilling programs, he has worked extensively with driller-operators, equity investors, corporate management, field personnel, landowners, petroleum engineers, geologists, project accountants, legal counsel and is experienced with the drafting of private placement memorandums, and investor subscription documents. To ensure full compliance with all applicable federal and state securities laws, he has worked directly with the Securities and Exchange Commission (SEC) and state-level securities divisions charged with the review, oversight, regulation, and governance of securities offerings. In addition to serving as a general partner for a number of drilling programs formed in the 1980s, Mr. Mergner continued to provide ongoing management and administrative services through 2009 to approximately 900 limited partners/equity investors and general partners who participated in the 30 drilling programs. These services were provided by a management and consulting firm co-founded by Mr. Mergner in 1992 for which he served as its President and CEO.
In 2003, Mr. Mergner founded a private real estate development entity for which he served as its President and CEO until 2008. It this capacity, he conceptualized and the company served as developer for five residential, mixed-use, and commercial real estate projects with an aggregate build out value in excess of $225 million. Mr. Mergner was responsible for raising more than $6 million of private equity capital and more than $35 million of conventional debt financing for the various projects.
From October 1, 2014 through December 31, 2015, Mr. Mergner served as Chapter Chair for the Greensboro, NC SCORE Association, a 501(c)(3) nonprofit organization and resource partner with the U.S. Small Business Administration (SBA). The Greensboro SCORE Chapter is one of ~370 chapters throughout the U.S. with more than ~11,000 working or retired professionals and business executives who volunteer their time and provide “free” confidential business counseling and mentoring by subject matter or industry expertise to entrepreneurs and owners of established and start-up businesses. Mr. Mergner served as a SCORE volunteer, business counselor and mentor from April 2011 through the end of 2015.
Mr. Mergner has served or currently serves as an advisory board member for one or more privately held companies. To date, he has been directly involved in the formation of more than 65 entities including C corporations, Subchapter S corporations, limited liability companies, limited partnerships, and general partnerships. He has served in a variety of capacities including organizer, founder, co-founder, President, CEO, Chief Compliance Officer, Senior Vice
President, officer, director, managing director, managing member, member, general partner, limited partner, registered agent, and tax matters partner.
Mr. Mergner holds a Bachelor of Science (B.S.) degree in Accounting from The Catholic University of America in Washington, DC and attended the University of Maryland at College Park for postgraduate studies in Accounting.
He has three children and resides in Greensboro, NC.
